An established legal team is seeking a highly experienced Senior Investment Paralegal to support complex transactional work involving institutional investment matters. This role focuses on private fund investments, including co-investments and separate accounts, and plays a critical role throughout the lifecycle of investment transactions-from initial due diligence through closing and post-closing activities.
Key Responsibilities
- Draft, review, and finalize subscription agreements, investor questionnaires, and related fund documentation
- Coordinate all aspects of transaction closings, including preparation of signature packages and electronic execution processes
- Manage investor onboarding processes, including AML/KYC and compliance documentation
- Track and monitor multiple active transactions using detailed trackers, checklists, and status reports
- Communicate directly with clients, fund counsel, administrators, and other stakeholders to resolve issues and maintain timelines
- Organize and maintain complete and accurate transaction records and closing files
- Review revisions from stakeholders and ensure documentation accuracy and completeness
- Assist with general transactional support, including entity formation and maintenance as needed
- Contribute to workflow improvements and identify efficiencies in processes and tools
- Maintain accurate time tracking and documentation for client billing
- Support special projects and cross-functional initiatives as needed
Qualifications & Experience
- Bachelor's degree or equivalent experience AND paralegal certificate required
- 5-8+ years of transactional paralegal experience, with significant exposure to investment management, private funds, or institutional investors
- Strong experience with private fund subscriptions, investor-side closings, or fund operations preferred
- Familiarity with AML/KYC processes
- Advanced proficiency in Microsoft Office (Word, Excel), PDF tools, and electronic signature/document platforms
- Exceptional organizational skills and attention to detail
- Strong written and verbal communication skills
- Ability to manage multiple deadlines in a fast-paced, deadline-driven environment
- Proven ability to work independently while collaborating effectively with legal teams and external stakeholder
